1. Agreement to Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Dinaplug Concept ("Dinaplug," "we," "us," or "our") governing your access to and use of the Dinapay mobile application and website (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.
2. Eligibility
To use our Services, you must:
- Be at least 18 years of age or the legal age of majority in your jurisdiction
- Be a resident of Nigeria or a jurisdiction where our Services are available
- Have the legal capacity to enter into a binding contract
- Not be prohibited from using the Services under applicable laws
3. Account Registration
To access certain features of our Services, you must register for an account. When you register, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your account credentials secure and confidential
- Notify us immediately of any unauthorized access or use of your account
- Accept responsibility for all activities under your account
4. Services Description
Dinapay provides digital payment services including but not limited to:
- Airtime and data bundle purchases for Nigerian mobile networks
- Electricity bill payments for distribution companies in Nigeria
- Cable TV subscription payments
- Digital wallet services for storing and managing funds
- Transaction history and reporting
5. Fees and Charges
We may charge fees for certain transactions or services. All applicable fees will be clearly displayed before you confirm any transaction. You agree to pay all fees and charges associated with your use of the Services.
We reserve the right to change our fees at any time. We will provide notice of any fee changes through the app or by email at least 14 days before they take effect.
6. Prohibited Activities
You agree not to engage in any of the following:
- Using the Services for any illegal purpose or in violation of any laws
- Attempting to interfere with or disrupt the Services or our servers
- Using automated systems or software to access or interact with the Services
- Impersonating any person or entity or misrepresenting your affiliation
- Engaging in fraudulent transactions or activities
- Attempting to circumvent any security measures
7. Intellectual Property
All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, and software, are owned by Dinaplug or its licensors and are protected by Nigerian and international copyright, trademark, and other intellectual property laws.
8. Limitation of Liability
To the maximum extent permitted by law, Dinaplug shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Services.
9. Termination
We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.
Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.
11. Dispute Resolution
Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good faith negotiation. If negotiation fails, the dispute shall be resolved through arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act.
12. Changes to Terms
We reserve the right to modify or replace these Terms at any time. We will provide notice of any material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after any changes constitutes acceptance of the new Terms.
